This OrangePasses Services Addendum and Standalone Agreement (“OrangePasses Agreement”) is entered into between RMT Tech LLC, a Delaware limited liability company, doing business as ReachMyTeach (“Provider”), and the school, school district, or other local educational agency identified in the applicable Order Form or signature block (“LEA”).

Existing Agreement Path. If the Parties have an existing LEA Agreement, service agreement, or other master agreement governing ReachMyTeach Services (“Existing Agreement”), this OrangePasses Agreement is an addendum to and forms part of that Existing Agreement.

Standalone Path. If the Parties do not have an Existing Agreement, this OrangePasses Agreement, the applicable Order Form, the ReachMyTeach Terms of Use, Privacy Policy, and applicable Student Data Privacy Agreement together constitute the complete agreement governing the LEA’s use of OrangePasses.

The OrangePasses Agreement becomes effective on the effective date stated in the applicable Order Form or, if no date is stated, on the date of the last signature below (“Effective Date”). For existing customers, references in this OrangePasses Agreement to the “Agreement” include the Existing Agreement. For standalone customers, “Agreement” means the documents identified in the Standalone Path above.

1. OrangePasses Service

OrangePasses is Provider's digital hall pass and student movement management system.

For an existing customer, OrangePasses is part of the “Services” under the Existing Agreement. For a standalone customer, OrangePasses constitutes the Services purchased under the applicable Order Form and this OrangePasses Agreement.

OrangePasses may receive updates, enhancements, security improvements, bug fixes, integrations, or additional functionality consistent with its purpose. A new addendum is not required unless an update materially changes Provider’s processing of Student Data or an amendment is required by applicable law.

The LEA is solely responsible for determining whether and how OrangePasses is used within its educational programs, including establishing applicable policies, workflows, permissions, and administrative practices governing its use.

2. Student Data

OrangePasses may process pass and account information reasonably necessary to provide the service, including student and staff identifiers; pass requester and approver information; school-defined or user-entered origins, destinations, and locations; pass creation, departure, return, approval, denial, cancellation, and expiration timestamps; pass status and duration; LEA-configured rules, limits, schedules, and permissions; and notes or other information entered by authorized users.

OrangePasses does not collect GPS coordinates, precise device location, or general location information from a user’s device. Location references in OrangePasses are school-defined or entered by an authorized user, such as “first-floor bathroom.” Student Data processed through OrangePasses remains subject to the applicable Student Data Privacy Agreement.

3. Data Retention

OrangePasses Data is retained only as long as reasonably necessary to provide OrangePasses, meet the LEA’s operational needs or instructions, or comply with applicable law. OrangePasses Data may be deleted at termination or upon the LEA’s written request, subject to reasonable backup, security, technical, and legal obligations. The standard seven-year ReachMyTeach retention period does not apply to OrangePasses Data.

4. Authorized Use

Provider’s collection, use, disclosure, security, and disposal of Student Data is governed by the applicable Student Data Privacy Agreement. If the Parties have not separately executed an SDPA, the SDPA provided with or incorporated into the standalone OrangePasses contracting documents applies to Student Data.

Provider may collect, use, disclose, retain, and otherwise process Student Data solely as reasonably necessary to provide, operate, maintain, support, secure, administer, and improve OrangePasses and otherwise as permitted under the Agreement and applicable law.

Nothing in this Addendum expands Provider's rights to use Student Data beyond those granted under the Agreement.

5. Integration

At the LEA’s direction, OrangePasses may exchange roster, account, school, class, schedule, attendance, messaging, and pass-related information with other ReachMyTeach Services when reasonably necessary to provide the modules authorized by the LEA. OrangePasses does not exchange data with an unpurchased module merely because that module is available within the ReachMyTeach platform.

6. Subprocessors

OrangePasses may utilize the same approved Subprocessors engaged by Provider under the Agreement. Provider shall remain responsible for ensuring that all Subprocessors comply with the obligations applicable to Student Data under the Student Data Privacy Agreement.

7. Order of Precedence

Except as expressly modified by this OrangePasses Agreement, the other applicable Agreement documents remain in effect. If provisions conflict, the Student Data Privacy Agreement and applicable Supplemental State Terms control with respect to Student Data; this OrangePasses Agreement controls with respect to OrangePasses-specific functionality, data, and retention; the applicable Order Form controls commercial terms; an Existing Agreement controls other negotiated LEA terms; and the Terms of Use and Privacy Policy apply to the extent they do not conflict with those documents.

8. No Other Changes

For an existing customer, all provisions of the Existing Agreement not modified by this OrangePasses Agreement continue to apply. For a standalone customer, the applicable Order Form, Terms of Use, Privacy Policy, Student Data Privacy Agreement, and this OrangePasses Agreement govern payment, renewal, confidentiality, security, warranties, disclaimers, liability, termination, and other contractual terms.
